Terms of Service


These Terms of Service govern your use of the Represent Design Studios (“RDS,” “we,” “our,” or “us”) website and your purchase of products or services from RDS.


By using this website, submitting a project request, approving a proof, placing an order, or purchasing from RDS, you agree to these Terms of Service.


Our Services


Represent Design Studios provides custom design, personalization, printing, apparel, keepsakes, signs, displays, and related creative products and services.


Many RDS projects are custom, personalized, made to order, or produced in varying quantities. Product availability, pricing, production methods, materials, colors, dimensions, and fulfillment requirements may therefore vary by project.


Submitting a project request does not create an obligation for RDS to accept the project.


Quotes and Pricing


Most RDS custom projects begin with a quote.


Quotes are based on the information available at the time they are prepared, including product selection, quantity, personalization, artwork requirements, production method, timing, and fulfillment needs.


A quote may be revised if the scope of the project changes or if material, supplier, shipping, or production costs change before the order is finalized.


Unless specifically stated otherwise, a quote does not reserve materials, inventory, or production capacity until the project is approved and payment requirements are satisfied.


Customer Information and Project Details


Customers are responsible for providing accurate information, including:


  • names and spelling;
  • dates;
  • sizes;
  • quantities;
  • colors;
  • personalization;
  • shipping information;
  • artwork specifications; and
  • any other project details.


RDS may rely on the information provided by the customer when preparing a design, proof, or order.


Artwork and Customer-Supplied Materials


Customers may provide logos, photographs, artwork, wording, trademarks, or other materials for use in a project.


By providing materials to RDS, the customer represents that they have the right or permission to use those materials for the requested project.


RDS is not responsible for determining ownership, licensing rights, trademark rights, copyright rights, or other intellectual-property rights relating to customer-supplied materials.


RDS may decline a project if we reasonably believe the requested material may be unlawful, infringing, deceptive, unsafe, or otherwise inappropriate for production.


Proofs and Approval


For projects requiring design approval, RDS will provide a proof or other representation of the proposed design before production.


Customers are responsible for carefully reviewing the proof, including:


  • spelling;
  • names;
  • dates;
  • numbers;
  • layout;
  • graphics;
  • colors;
  • sizing information; and
  • personalization.


Customer approval of a proof authorizes RDS to proceed with production based on that approved design.


Once a proof has been approved, changes may require an additional charge and may affect production timing.


RDS is not responsible for errors that were visible in and approved through the final proof.


Production and Turnaround


Production times are estimates unless RDS expressly agrees otherwise in writing.


Turnaround may be affected by:


  • customer response and proof approval;
  • product or material availability;
  • supplier delays;
  • production complexity;
  • order quantity;
  • equipment issues;
  • shipping or carrier delays; and
  • circumstances outside RDS’s reasonable control.


A stated turnaround time does not guarantee a delivery date unless RDS specifically confirms that commitment.


Payment


Payment requirements will be communicated as part of the project or order process.


RDS may require full or partial payment before production begins.


Orders may be invoiced through Shopify or another approved payment method.


Production may be delayed until required payment has been received.


Shipping and Fulfillment


RDS currently ships within the United States.


Shipping charges for custom projects are generally determined after project and fulfillment details are finalized. Shipping costs may depend on destination, package size and weight, carrier, and service level.


Production time and carrier transit time are separate.


RDS may use UPS, FedEx, USPS, or another appropriate carrier.


Tracking will be provided when available.


Carrier delays, loss, or service interruptions that occur after a shipment has been accepted by the carrier may be outside RDS’s direct control. RDS will reasonably assist customers with available carrier information or claims where appropriate.


Local pickup may be arranged directly with RDS when available. Local pickup is by arrangement unless RDS specifically offers another pickup method.


Returns, Refunds, and Defects


Customized, personalized, and made-to-order products are generally final sale after the customer approves the final proof.


RDS does not normally accept returns, exchanges, or refund requests based on design elements, personalization, spelling, colors, sizing information, graphics, or other details that were shown in and approved through the final proof.


If an item is defective, damaged, or materially different from the approved proof because of a production error, RDS may, at its discretion:


  • replace the affected item with an identical or substantially identical item; or
  • issue a refund for the affected item.


RDS may request photographs, additional information, or return of the affected product before providing a replacement or refund.

Cancellations


Custom projects may be cancelled before proof approval unless RDS has already incurred project-specific costs, including design work, materials, supplier charges, or production expenses.


RDS may deduct or retain amounts reasonably associated with work already performed or costs already incurred.


Once the final proof has been approved and production has begun, the order generally cannot be cancelled.


Product and Color Variations


Customers acknowledge that minor variations may occur between:


  • digital screens and printed colors;
  • different printing processes;
  • product batches;
  • fabric or material lots;
  • handmade products; and
  • manufacturing tolerances.


Reasonable variations of this kind are not considered defects unless they materially affect the quality or intended use of the product.


Intellectual Property


Unless otherwise agreed, RDS retains ownership of its original design concepts, working files, templates, production methods, and other creative materials created by RDS.


Purchase of a physical product does not automatically transfer ownership of RDS design files, editable source files, or intellectual property.


Rights to customer-supplied logos, artwork, photographs, trademarks, and other materials remain with their respective owners.


Any transfer or licensing of RDS-created artwork beyond use in the purchased project must be agreed separately.


Website and Third-Party Services


The RDS website and ecommerce services are powered in part by Shopify and may use other third-party providers for payments, shipping, communications, hosting, analytics, and related services.


RDS does not control all functions, policies, security systems, or availability of these third-party platforms.


Use of third-party services may also be subject to their own terms and privacy policies.


Privacy


RDS uses customer information as described in our Privacy Policy.


RDS does not intentionally sell customer personal information and does not intentionally disclose customer information to unrelated third parties except as reasonably necessary to operate our business, fulfill orders, provide services, comply with law, or as otherwise described in our Privacy Policy.


Limitation of Responsibility


To the extent permitted by applicable law, RDS is not responsible for indirect, incidental, or consequential losses arising from delays, carrier disruptions, third-party service failures, customer-supplied information, or circumstances outside RDS’s reasonable control.


Nothing in these Terms is intended to exclude rights or remedies that cannot legally be waived or limited.


Refusal or Cancellation of Service


RDS reserves the right to decline or cancel a project or order when reasonably necessary, including for:


  • suspected fraud;
  • unlawful or infringing content;
  • abusive or threatening conduct;
  • inability to obtain required materials;
  • production limitations;
  • nonpayment; or
  • circumstances that make the project impractical or inappropriate to complete.


If RDS cancels a paid project for reasons unrelated to customer misconduct or costs already incurred, any appropriate refund will be determined based on the status of the project.


Changes to These Terms


RDS may update these Terms of Service as our business, website, products, services, or legal obligations change.


The version posted on the RDS website at the time of an order will govern that transaction unless otherwise agreed in writing.


Governing Law


These Terms are governed by the laws applicable to Represent Design Studios in the State of Nevada, except where applicable consumer law requires otherwise.
